Important: These Terms of Service constitute a legally binding agreement between you and B & B Fulfilment Ltd. By using our services, you acknowledge that you have read, understood, and agree to be bound by these terms.
1. Agreement to Terms
These Terms of Service ("Terms") govern your use of the services provided by B & B Fulfilment Ltd (Company Number: 197488344), a company registered in England and Wales with its registered office at New Enterprise Centre, Wolverhampton, United Kingdom, WV1 2TZ ("Company", "we", "us", or "our").
By accessing or using our fulfilment services, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access our services.
2. Services Description
B & B Fulfilment Ltd provides third-party logistics (3PL) services including but not limited to:
- Warehousing and storage
- Order fulfilment and shipping
- Inventory management
- Pick and pack services
- Returns processing
- Kitting and assembly
- Amazon FBA preparation
3. Account Registration
To use our services, you must:
- Be at least 18 years old
- Be legally capable of entering into binding contracts
- Provide accurate, current, and complete information
- Maintain the security of your account credentials
- Promptly update any changes to your information
- Accept responsibility for all activities under your account
4. Pricing and Payment Terms
4.1 Pricing
- All prices are subject to VAT at the prevailing rate
- Pricing is based on the services selected and volume commitments
- We reserve the right to modify pricing with 30 days' written notice
- Custom quotes are valid for 30 days unless otherwise specified
4.2 Payment
- Payment terms are net 30 days unless otherwise agreed
- Late payments may incur interest at 8% above the Bank of England base rate
- We reserve the right to suspend services for overdue accounts
- All fees are non-refundable unless otherwise stated
5. Service Level Agreement
We strive to maintain high service standards:
- Orders received by 2 PM are typically processed same day
- Standard processing times apply during peak seasons
- Service levels are subject to our standard operating procedures
- Force majeure events may affect service delivery times
6. Client Responsibilities
As our client, you agree to:
- Provide accurate product information and specifications
- Ensure all products comply with UK laws and regulations
- Maintain adequate insurance for your inventory
- Provide proper documentation for all shipments
- Promptly communicate any special handling requirements
- Pay all fees and charges when due
7. Inventory and Storage
7.1 Inventory Management
- We maintain reasonable care of your inventory
- Regular cycle counts are performed
- Discrepancies are reported within 48 hours
- You retain title to all inventory
7.2 Storage Conditions
- Standard ambient warehouse conditions apply
- Special storage requirements must be agreed in advance
- Additional charges may apply for climate-controlled storage
8. Liability and Insurance
8.1 Limitation of Liability
To the maximum extent permitted by law:
- Our liability is limited to the fees paid for the affected services
- We are not liable for indirect, consequential, or punitive damages
- Our maximum liability shall not exceed £50,000 per incident
- These limitations apply regardless of the cause of action
8.2 Insurance
- We maintain appropriate business insurance
- Clients are responsible for insuring their inventory
- Proof of insurance may be required for high-value goods
9. Intellectual Property
All intellectual property rights in our services, systems, and materials remain our property. You grant us a licence to use your trademarks and materials solely for providing the agreed services.
10. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary information shared during the business relationship. This obligation survives termination of the agreement.
11. Data Protection
We process data in accordance with our Privacy Policy and applicable data protection laws including the UK GDPR and Data Protection Act 2018.
12. Prohibited Items
You agree not to store or ship:
- Illegal or controlled substances
- Hazardous materials without proper documentation
- Weapons or explosives
- Perishable goods (unless agreed)
- Live animals
- Currency or negotiable instruments
- Any items prohibited by law
13. Termination
13.1 Termination Rights
- Either party may terminate with 60 days' written notice
- We may terminate immediately for breach of terms
- We may terminate immediately for non-payment
13.2 Effect of Termination
- All outstanding fees become immediately due
- You must collect inventory within 30 days
- Uncollected inventory may be disposed of at your cost
- Confidentiality obligations survive termination
14. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:
- Your breach of these Terms
- Your products or their use
- Your violation of any laws or regulations
- Any third-party claims related to your products
15. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
16. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from acts beyond their reasonable control, including but not limited to acts of God, strikes, lockouts, riots, acts of war, epidemics, governmental regulations, fire, communication line failures, power failures, or earthquakes.
17. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be notified with 30 days' notice. Continued use of services after changes constitutes acceptance.
18. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
19. Entire Agreement
These Terms, together with any service agreements and our policies, constitute the entire agreement between you and B & B Fulfilment Ltd.
